These Terms constitute a legally binding agreement between you ("User", "you") and Overwood Capital Kenya ("we", "us", "our"). If you do not agree with any part of these Terms, you must not access or use our Services.

We may update these Terms from time to time. Continued use after changes constitutes acceptance of the revised Terms. We will notify you of material changes via the website or email where appropriate.

2. Eligibility

You must be at least 18 years old and legally capable of entering into contracts to use our Services. By using the Services, you represent and warrant that you meet these requirements.

Our Services are intended for residents of Kenya. We do not offer products or services in jurisdictions where prohibited by law.

3. Services Description

We provide information about loan products (Mshahara Loans, Okoa Biashara, Logbook Loans) and insurance services (General, Life, Medical & Equipment). The loan calculator is an indicative tool only — final terms depend on credit assessment.

All loan/insurance approvals are subject to our internal credit underwriting, verification, and regulatory requirements. We do not guarantee approval or specific terms.

4. Loan & Insurance Applications

When applying, you must provide accurate, current information. Providing false information may result in rejection, reporting to credit reference bureaus (CRBs), or legal action.

Loan agreements are separate contracts governed by their specific terms (interest rates, fees, repayment schedules, default consequences). Any offer letter or facility letter forms part of the binding agreement.

• Interest rates are variable/reducing balance and subject to change per prevailing market conditions and CBK guidelines.
• Processing fees, insurance fees, and other charges apply as disclosed.
• Default may lead to CRB listing, asset recovery (e.g., vehicle repossession for logbook loans), legal proceedings, and additional costs borne by you.

5. User Conduct & Responsibilities

You agree not to:

• Use the Services for unlawful purposes or fraud
• Interfere with the website or Services
• Upload viruses, malware, or harmful code
• Harass, impersonate, or mislead others
• Scrape, copy, or reproduce content without permission

6. Intellectual Property

All content on the website (text, logos, images, design) is owned by us or our licensors and protected by copyright, trademark, and other laws. You may view and print content for personal, non-commercial use only.

7. Disclaimers & Limitation of Liability

Services are provided "as is" without warranties of any kind. We do not guarantee uninterrupted access, error-free operation, or specific results from the calculator.

To the maximum extent permitted by law, we shall not be liable for indirect, incidental, consequential, or punitive damages arising from use of the Services, even if advised of the possibility.

8. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, liabilities, damages, costs (including legal fees) arising from your breach of these Terms or misuse of the Services.

Your use of the Services is also governed by our Privacy Policy, which is incorporated herein by reference.

We may suspend or terminate your access to the Services at any time, without notice, for breach of these Terms or for any other reason.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of Kenya. Any disputes shall be resolved exclusively in the courts of Nairobi, Kenya.
